Terms of Service

1. Acceptance

By creating a DataDistill account or using our Service, you agree to these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Account

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your API keys and account credentials, and for all activity under your account. Notify us immediately at security@datadistill.co of any unauthorized access.

3. Use of the Service

You may use the Service only in compliance with applicable law and our Acceptable Use Policy. You may not (a) reverse engineer the Service, (b) resell access without a written reseller agreement, (c) use the Service to benchmark competing products without our written consent, or (d) exceed the rate limits of your subscription tier.

4. Intellectual Property

Your content stays yours. You retain all rights to the documents you submit and the structured data we return.

Our platform stays ours. DataDistill retains all rights in the Service, including our APIs, models, dashboard, documentation, and any improvements or derivative works. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

5. Customer Content

You grant DataDistill a limited license to process your documents solely to provide the Service. We do not use your documents to train our models or any third party's models. On Growth and Enterprise tiers, this commitment is enforced contractually through a Zero Data Retention Agreement.

6. Payments

Standard tier is pay-as-you-go at published rates. Growth and Enterprise tiers are billed under individually-negotiated commercial terms (typically monthly or annual commitments with auto-renewal and 30 days' written notice to cancel). All fees are non-refundable except as required by law. You are responsible for any applicable taxes.

7. Termination

Either party may terminate for material breach with 30 days' notice and opportunity to cure. DataDistill may suspend or terminate accounts that violate our Acceptable Use Policy immediately, without prior notice, in the event of serious or repeated abuse. Upon termination, we will delete customer content per your configured retention policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DataDistill does not warrant that the Service will be uninterrupted or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DataDistill's total liability arising out of or relating to these terms or the Service will not exceed the amounts paid by you to DataDistill in the 12 months preceding the claim. DataDistill will not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold DataDistill harmless from claims arising out of your misuse of the Service, violation of these terms, or infringement of any third party's rights in content you submit.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.

12. Changes

We may update these terms from time to time. Material changes will be communicated by email to account administrators at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
